AutoPrioritizer AI for Jira Cloud

1. Introduction

These Terms of Service ("Terms") govern your use of AutoPrioritizer AI ("the App"), an Atlassian Forge application available through the Atlassian Marketplace. By installing or using the App, you agree to be bound by these Terms.

The App is provided by AutoPrioritizer ("we", "us", "our"). If you are using the App on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. License Grant

Subject to your compliance with these Terms and payment of any applicable subscription fees through the Atlassian Marketplace, we grant you a limited, non-exclusive, non-transferable, revocable license to use the App during your active subscription period.

The license is:

• Subscription-based -- Access requires an active, paid subscription through the Atlassian Marketplace.
• Per-user -- Your subscription tier determines the number of authorized users. Only users within your licensed count may use the App.
• Instance-scoped -- The license applies to the Jira Cloud instance where the App is installed.

You may not sublicense, resell, redistribute, or make the App available to any third party outside of your licensed Jira Cloud instance.

3. Usage Quotas

The App includes a usage quota of 100 issues per active user per month. The quota scales with the number of unique users who interact with the App during the current billing month. For example, if 5 users have used the App this month, the shared quota is 500 issues.

• Quotas reset on the first day of each calendar month (UTC).
• Each issue analyzed (whether single, batch, or auto-prioritized) counts toward the quota.
• Current usage and remaining quota are visible in the App's usage dashboard.

4. Acceptable Use

You agree not to:

• Circumvent, disable, or interfere with the App's quota system or licensing checks.
• Use the App in any way that violates Atlassian's Marketplace Terms of Use or Forge Terms of Service.
• Use the App to process data that you do not have the right to access or process.
• Reverse engineer, decompile, or disassemble the App.
• Use automated tools to interact with the App outside of its intended user interface and API.
• Intentionally submit misleading, harmful, or abusive content to the AI service through the App.

5. Third-Party Services -- Anthropic API

The App requires an Anthropic API key to function. You are responsible for:

• Obtaining your own API key from Anthropic (console.anthropic.com).
• All costs associated with your Anthropic API usage. The App makes API calls to Anthropic's Claude service on your behalf, and you will be billed directly by Anthropic for that usage.
• Complying with Anthropic's terms, including their API Terms of Service and Acceptable Use Policy. We are not responsible for your relationship with Anthropic or any changes to their services, pricing, or terms.

We do not provide, manage, or subsidize your Anthropic API access. If Anthropic suspends or terminates your API key, the App will be unable to perform prioritization until a valid key is provided.

6. AI Recommendations Disclaimer

The App provides AI-generated priority recommendations for Jira issues. These recommendations are suggestions only and should be treated as a starting point for your team's decision-making process.

• AI recommendations are not guaranteed to be accurate, complete, or appropriate for your specific situation.
• The quality of recommendations depends on the data available in your Jira issues, the criteria and context you configure, and the capabilities of the underlying AI model.
• You are solely responsible for reviewing, approving, and applying any priority changes. The App does not apply changes without user action (except when auto-prioritize is explicitly enabled by an administrator for a project).
• We are not liable for any decisions made based on the App's recommendations, including but not limited to incorrect prioritization of critical issues.

7. Data Handling

Your use of the App is also governed by our Privacy Policy, which describes what data the App accesses, where it is sent, and how it is stored. Key points:

• The App reads Jira issue fields (summary, description, labels, components, type, status, priority, recent comments) and sends them to Anthropic's Claude API for analysis.
• Ticket data is not stored by the App. It is read at the time of analysis, sent to the AI, and discarded.
• Configuration data (prioritization profiles, quick filters, usage statistics) is stored in Atlassian Forge Key-Value Store (KVS) within Atlassian's infrastructure.
• No data is stored on any external server owned or operated by us.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
• WARRANTIES THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS.
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED RECOMMENDATIONS.

The App depends on third-party services (Atlassian Forge infrastructure and Anthropic's Claude API) that are outside of our control. We do not warrant the availability, performance, or continued operation of those services.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE APP SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

This limitation applies even if we have been advised of the possibility of such damages and even if any limited remedy fails of its essential purpose.

10. Termination

By you

You may stop using the App at any time by uninstalling it from your Jira Cloud instance. Subscription cancellation is handled through the Atlassian Marketplace.

By us

We may suspend or terminate your access to the App if you violate these Terms, if required by law, or if we discontinue the App. We will make reasonable efforts to provide advance notice of discontinuation.

Effect of termination

When your subscription ends or the App is uninstalled:

• The App will stop functioning. Prioritization features (single, batch, and auto-prioritize) will no longer be available.
• Data in Forge KVS (profiles, filters, usage stats) is retained by Atlassian's Forge platform until the App is uninstalled. Uninstalling the App removes this data per Atlassian's Forge data retention policies.
• Priority values previously applied to Jira issues are standard Jira fields and remain unchanged. They are not affected by the App's removal.
• We have no obligation to export or provide access to App configuration data after termination.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated through the Atlassian Marketplace listing. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.

We encourage you to review these Terms periodically. The "Last updated" date at the top reflects the most recent revision.

12. Governing Law

These Terms are governed by the laws of the jurisdiction in which AutoPrioritizer is incorporated, without regard to conflict of law principles.
